TERMS AND CONDITIONS OF USE OF DIAGNOSTICA STAGO'S EXTRANET SITE

Please read these terms and conditions of use carefully before using DIAGNOSTICA STAGO S.A.S' EXTRANET SITE
DIAGNOSTICA STAGO owns, operates and controls this Extranet Site from its principal offices located at 9, rue des Frères Chausson - B.P. 226 - 92600 Asnières sur Seine (France).
ARTICLE 1: DEFINITIONS
"STAGO" means the DIAGNOSTICA STAGO S.A.S. company, a company duly incorporated under the laws of France, having its principal offices at 9, rue des Frères Chausson - B.P. 226 - 92600 Asnières sur Seine (France).
"FRENCH USER" means the user, customer of STAGO, having its principal offices located in France and meeting the following three cumulative requirements set by STAGO to be allowed access to STAGO's EXTRANET SITE:
i. to possess a STAGO analyzer;
ii. to have orders based on a minimum of two (2) references with a minimal quantity of six (6) boxes for each of the these references.
"EXPORT USER" means the user, distributor of STAGO outside the French metropolitan territory.
"USER" means both the FRENCH USER and the EXPORT USER.
"SERVICE" means the service provided to USERS by STAGO through the use of the hyperlinks called "Votre Espace Clients Privilégiés" for FRENCH USERS and "B to B" for EXPORT USERS, inserted in STAGO's www.stago.fr and www.stago.com web sites. The purpose of these hyperlinks is to give each USER who has been identified by a login and a password an online access to a series of personalized data and of information on STAGO and on the activity of in vitro diagnostic dedicated to the field of hæmostasis and of thrombosis.
"EXTRANET SITE" means the closed Internet-using computer network on which STAGO provides the SERVICE to USERS.
ARTICLE 2: SCOPE
The scope of these terms and conditions is to define the conditions of access to STAGO's EXTRANET SITE as well as the conditions of use of the SERVICE.
Any connection to STAGO's EXTRANET SITE is subject to USER's full compliance with these terms and conditions, which can be changed or modified at any time by STAGO.
BY ACCESSING OR USING STAGO'S EXTRANET SITE, YOU AGREE TO BE BOUND AND TO ABIDE BY THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE WITH THE UNDERMENTIONNED PROVISIONS, YOU SHOULD NOT USE THIS SITE.
ARTICLE 3: ACCESS TO STAGO'S EXTRANET SITE - PASSWORDS
STAGO grants USER, who accepts, the right to connect one or more workstations to the EXTRANET SITE. The EXTRANET SITE is accessed from STAGO's web sites which are operated and controlled in France by STAGO. The communication protocols used will be those commonly used on the Internet. The right to access and use the EXTRANET SITE is non-exclusive and non-transferable.
The EXTRANET SITE can only be accessed using an alphanumerical login and password attributed and mailed by STAGO to each USER.
Each FRENCH USER is given a principal login and password to allow the access to the SERVICE. Moreover, STAGO makes available to each FRENCH USER up to five (5) additional logins and their matching passwords for use by FRENCH USER's employees, allowing them access solely to the SERVICE's technical data.
Each EXPORT USER is given a principal login and password to allow the access to the SERVICE. In addition, STAGO makes available to each EXPORT USER a number of logins and their matching passwords according to the number of each EXPORT USER's employees. These logins and passwords allow access to different levels of SERVICE's data, these levels being allocated by the USER among its employees upon its own discretion and responsibility.
Logins and passwords are confidential. It is USER's and its employees' liability to keep them secret and not to communicate them to anyone. USER is fully liable for the conservation and use of its logins and passwords and, if any, for the consequences of their divulgation to or of their use by employees and/or third parties.
As a security measure, connection to the EXTRANET SITE is interrupted once three (3) consecutive wrong codes have been entered.
If a USER forgets or loses its logins and passwords, STAGO may, upon USER's request, give to this USER new logins and passwords. In such case, STAGO will inactivate the forgotten or lost logins and passwords.
The service can be accessed 24 hours a day, 7 days a week, except in case of force majeure or an event beyond STAGO's control, and subject to possible breakdowns or maintenance interventions necessary to ensure that the service and hardware function properly.
STAGO reserves the right to remove USER's right to access STAGO's EXTRANET SITE if such USER does not abide by all these terms and conditions.
ARTICLE 4: SERVICE'S RATES
Access to STAGO's EXTRANET SITE is free, except for the costs of telephone communications which are borne by USER.
STAGO reserves the possibility to later on bill for the access to the SERVICE. For that matter, STAGO shall give to USER prior information of any modification to be made to the SERVICE's rates at least three (3) months before the expected date of modification of said rates. Each USER will have to confirm in writing its acceptance of the new rates at the latest one (1) month after such information was given by STAGO. In case such confirmation is not given on time, STAGO reserves the right to refuse access of USER to STAGO's EXTRANET SITE.
ARTICLE 5: COPYRIGHTS
The content of STAGO's EXTRANET SITE (especially data, information, illustrations, logos, trademarks, etc.), with the exception of data which is specific to each USER, is protected by copyright and other intellectual property rights.
Any copy, reproduction or distribution, either in full or in part, of the content of STAGO's EXTRANET SITE, using any process whatsoever, is illegal except in case of a single copy on a single computer, reserved for the exclusive private use of the person making the copy.
It is up to USERS of STAGO's EXTRANET SITE to take all appropriate measures to protect their data and/or software from contamination by viruses which may be present on the Internet.
Information other than that specific to each USER and pictures contained in STAGO's EXTRANET SITE are protected under copyright © 2003 DIAGNOSTICA STAGO. Logos are trademarks registered by STAGO.
ARTICLE 6: USE OF MATERIALS
No material from STAGO's EXTRANET SITE, with the exception of data which is specific to each USER, may be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way, except that you may download one copy of the materials on any single computer for your personal, non-commercial home use only, provided you keep intact all copyrights and other proprietary notices. Modification or use of the materials, with the exception of data which is specific to each USER, for any other purpose is a violation of DIAGNOSTICA STAGO's copyrights and of its other proprietary rights. In case of use of STAGO's EXTRANET SITE, the use any of its material, with the exception of data which is specific to each USER, on any other web site, Intranet or Extranet or in any computer network environment, is prohibited.
Material containing data which is specific to each USER remains the property of each USER.
In the event a USER downloads software from STAGO's EXTRANET SITE, the software, including any files, images incorporated in or generated by the software, and data accompanying the software (collectively, the "Software") are licensed by STAGO to such USER. STAGO does not transfer title to the Software to said USER. This USER owns the medium on which the Software is recorded, but STAGO retains full and complete title to the Software, and all intellectual property rights therein. It is forbidden for the USER to redistribute, sell, decompile, reverse engineer, disassemble, or otherwise reduce the Software to a human-perceivable form.
ARTICLE 7: ELECTRONIC MAIL
In order to correspond with STAGO by electronic mail, USERS shall fill the e-mail forms proposed on STAGO's EXTRANET SITE. STAGO's answers to e-mails are not and shall not be assimilated or constitute evidence of any commercial or advertising action of STAGO within the country of destination of the answers.
Each USER is responsible for the content of the e-mails it sends on STAGO's EXTRANET SITE. STAGO shall not be held liable for the content of the e-mails sent or received by each USER.
ARTICLE 8: LIMITATION OF LIABILITIES
The information and materials contained in STAGO's EXTRANET SITE are provided on a "as is" basis and without warranties of any kind either express or implied.
STAGO reserves the right to make improvements and/or changes in the content of STAGO's EXTRANET SITE at any time without prior notice.
Data provided to USERS is not real time accurate. As data are updated during nighttime, a twenty four (24) hour period of time is necessary for the treatment and incorporation of new data on STAGO's EXTRANET SITE.
The elements presented on STAGO's EXTRANET SITE can be changed without notice and do not carry any guarantee of any sort whatsoever, whether implicit or explicit, and do not entitle user to claim damages of any type.
STAGO shall not be liable for any contamination of USER's computer installation by viruses or other harmful components.
Under no circumstances, STAGO, its employees, suppliers or a third party mentioned in STAGO's EXTRANET SITE shall be liable, whether in contract, tort, including but not limited to negligence or otherwise, for any special or consequential damages, damages or losses that result from the use of the information and materials contained in STAGO's EXTRANET SITE.
STAGO shall not be liable for the information, material and software of the web sites linked via hyperlinks to STAGO's EXTRANET SITE.
ARTICLE 9: SECRECY AND SECURITY OF COMPUTER DATA
All computer data contained on STAGO's EXTRANET SITE remain STAGO's property. STAGO undertakes to keep all of this data strictly confidential and to abide by the professional secrecy linked to it.
Each USER undertakes to keep strictly confidential all computer data concerned by SERVICE.
Personal data shall be treated pursuant to the January 6, 1978 French law number 78-17 relating to computer files. Therefore, STAGO undertakes to abide by the following obligations:
- not to use the treated documents or data for any other purpose than those specified in these terms and conditions;
- take all necessary measures to prevent fraudulent or diverted use of the computer data;
- take all necessary measures to preserve the integrity of the documents and data recorded in the concerned files.
Each USER has a right to access, modify, correct and delete its personal data. To exercise such right, USER shall click on the hyperlink called "Accès à une Boîte Mail" on the page "Votre Fiche Signalétique."
ARTICLE 10: JURISDICTIONAL ISSUES
Any action at law or in equity arising out of or relating to these terms and conditions of use shall be submitted to the courts of the location of STAGO's principal offices and shall be governed by the laws of France, independently of conflict of law rules. By accessing STAGO's EXTRANET SITE, you expressly agree to be bound by this jurisdictional clause.
If one of the provisions of these terms and conditions of use is held to be null and void, it shall be deemed not to have been written and shall not entail annulment of the remaining provisions.
